These Website and Portal Terms of Use (“Terms”) govern your use of the public website and any logged-in client portal made available at or through www.horizonscanai.com and any related sub-domains (together, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to them, you must not use the Site.
These Terms apply to business use of the Site. The Site is not intended for individual consumer use, you should not rely on the Site or any portal content as a substitute for your own independent professional advice.
If you are a paying client of Horizon Scan AI, the commercial relationship between your organisation and Horizon Scan AI, including the scope of services, fees, confidentiality, data protection, deliverables, and liability, is governed by the relevant master services agreement, statement of work, business profile, or other written client contract between the parties (together, the “Client Agreements”). These Terms sit alongside, and do not replace, those Client Agreements.
1. Who operates the Site
The Site is operated by Horizon Scan AI Limited (“Horizon Scan AI”, “we”, “us”, “our”), a company incorporated in England and Wales with company number 15738179, VAT registration number 514 5452 08, and registered office at 124 City Road, London, EC1V 2NX, United Kingdom.

2. About the Site and services
HORIZON is a managed strategic risk intelligence and foresight service designed to support boards, senior executives, and business leaders with structured external risk intelligence over a 2–18 month planning horizon. The Site may include public information about Horizon Scan AI and, where applicable, a restricted client portal through which authorised users can access client materials and related information.
HORIZON does not provide real-time alerting, day-to-day incident monitoring, cyber security operations, incident response, vulnerability scanning, forensics, regulated financial advice, investment advice, or legal advice. Content accessed through the Site, including any portal content, is intelligence and analysis only and is not a substitute for independent professional advice tailored to your circumstances.
Nothing on the Site guarantees that a particular event will occur, that a risk will or will not materialise, or that a particular outcome, benefit, or business result will be achieved.
3. Relationship with Client Agreements
If you or your organisation have entered into a master services agreement, statement of work, business profile, or any other written agreement with Horizon Scan AI (together, the “Client Agreements”), those Client Agreements govern the commercial relationship between your organisation and Horizon Scan AI. This includes, where applicable, the scope of HORIZON services, fees, deliverables, confidentiality, data protection, intellectual property licensing, and liability.
These Terms apply separately to your use of the Site and any portal interface. They sit alongside, and do not replace, the Client Agreements.
If there is any conflict between these Terms and a signed Client Agreement, the Client Agreement takes precedence to the extent of that conflict for the matters it covers. For all other matters relating to general use of the Site or portal, including account access, acceptable use, website functionality, and operational access controls, these Terms apply.
If you access the portal as an authorised user on behalf of a client organisation, you confirm that you are authorised by that organisation to do so and that your use of the portal is on behalf of, and for the internal business purposes of, that organisation.
4. Eligibility and account
You may browse public areas of the Site without creating an account. To access any restricted area or client portal, you must be at least 18 years old and acting on behalf of a business or organisation; the Site and any portal are not intended for individual consumer use.
You are responsible for ensuring that account information is accurate and kept up to date. You are also responsible for keeping login credentials confidential, restricting access to authorised personnel only, and notifying Horizon Scan AI promptly if there is any suspected unauthorised access, misuse, or compromise of credentials or accounts.
Horizon Scan AI may suspend, disable, or restrict any account or access rights at any time where it reasonably believes there has been a breach of these Terms, a security risk, a legal requirement to do so, or an instruction from the relevant client organisation in relation to its authorised users.
5. Acceptable use
The Site must be used lawfully, responsibly, and only for legitimate business purposes.
You must not:

use the Site in any way that breaches any applicable law or regulation;

attempt to gain unauthorised access to the Site, any user account, or any systems or networks connected to it;

probe, scan, test, or attempt to circumvent the security or integrity of the Site or any related system;

introduce viruses, malware, malicious code, or other harmful material;

copy, scrape, harvest, extract, or collect content or data from the Site by automated means, including bots, crawlers, or scraping tools, unless prior written consent has been given;

upload, submit, or transmit anything unlawful, defamatory, obscene, discriminatory, infringing, or otherwise harmful;

use the Site, portal, or any materials accessed through it to build, support, benchmark, or train a competing product or service;

misrepresent your identity, affiliation, or authority to act on behalf of any person or organisation.
Horizon Scan AI may monitor use of the Site to the extent reasonably necessary for security, operational integrity, fraud prevention, and compliance with these Terms and applicable law.
6. AI chat bot
The Horizon Scan AI website may include an AI-powered chatbot to help visitors understand our services, approach, and publicly available website information.
The chatbot is provided for general informational purposes only. Its responses are generated by artificial intelligence and should not be treated as human advice, professional advice, strategic advice, legal advice, financial advice, or a formal recommendation from Horizon Scan AI.
AI-generated responses may be incomplete, inaccurate, outdated, misleading, or may not fully reflect Horizon Scan AI’s current services, policies, pricing, commercial position, or contractual terms. Users should not rely on chatbot responses when making important business, strategic, legal, financial, operational, procurement, or investment decisions.
For important matters, users should verify information independently or contact Horizon Scan AI directly. Any formal service description, proposal, quotation, pricing, contractual term, representation, or client commitment is only valid where confirmed separately by Horizon Scan AI in writing.
Horizon Scan AI does not guarantee that the chatbot will be uninterrupted, error-free, secure, or accurate in every response. To the fullest extent permitted by law, Horizon Scan AI accepts no liability for loss or damage arising from reliance on chatbot responses.
Users should not submit confidential, sensitive, privileged, personal, or commercially critical information through the chatbot unless Horizon Scan AI has expressly agreed appropriate arrangements in writing.
7. Access, availability, and changes to the Site
Horizon Scan AI uses reasonable skill and care in operating the Site, but does not guarantee that the Site will always be available, uninterrupted, secure, or error-free, or that any particular feature or interface will continue to be available indefinitely.
Access to all or part of the Site may be suspended, withdrawn, or restricted at any time for maintenance, technical reasons, security incidents, legal or regulatory reasons, or where necessary to protect the integrity of systems, users, or data.
Horizon Scan AI may modify, update, replace, or remove content, features, and functionality from the Site at any time. Where a change materially affects an existing client portal function, reasonable notice may be given by email or through the portal where practicable.
8. Changes to these Terms
Horizon Scan AI may update these Terms from time to time. When this happens, the “Last updated” date at the top of the page will be changed, and the revised Terms will apply from the date they are published on the Site. Where appropriate, notice of material changes may also be given by email or through the portal.
9. Intellectual property
All rights, title, and interest in and to the Site and all content and materials made available through it, including text, graphics, logos, icons, images, reports, briefs, scenarios, frameworks, methodologies, taxonomies, workflows, data structures, and other materials created or supplied by Horizon Scan AI (together, the “Horizon Scan AI Materials”), belong to Horizon Scan AI Limited or its licensors and are protected by copyright, database rights, trade marks, and other intellectual property laws.
Subject to any broader rights granted under a signed Client Agreement, Horizon Scan AI grants a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and, where applicable, to access client-specific portal materials for internal business purposes only.
Unless expressly permitted by a Client Agreement or by written consent, you must not reproduce, distribute, publish, republish, adapt, commercially exploit, publicly display, reverse engineer, decompile, or otherwise derive or reuse any part of the Horizon Scan AI Materials. You must not remove or obscure any copyright, confidentiality, branding, or proprietary notices.
All rights not expressly granted are reserved.
10. Client content and submissions
You may provide information, documents, feedback, or other materials through the Site or portal (“Client Content”). You retain your rights in Client Content, subject to any licences or permissions granted under the relevant Client Agreement.
You grant Horizon Scan AI a non-exclusive, royalty-free licence to use Client Content to operate and administer the Site and portal, provide the contracted services, maintain records, and improve services and methodologies on an anonymised or aggregated basis where this does not identify you or your organisation.
You must ensure that you have the right to provide any Client Content submitted through the Site or portal and that it does not infringe any law, confidentiality duty, or third-party right.
Unless expressly agreed in writing, you must not upload or submit special category personal data, criminal offence data, legally privileged material, or unnecessary sensitive information through the Site or portal.
11. No reliance on information
Content on the public Site is provided for general information only. Portal materials and client deliverables are designed to support structured thinking about external strategic risks, emerging issues, and possible future developments, but they are based on open-source material, analytical judgement, and forward-looking assessment, all of which involve uncertainty.
Accordingly, Horizon Scan AI does not represent, warrant, or guarantee that Site content or portal content is complete, accurate, current, or suitable for any specific decision, purpose, or outcome. You remain solely responsible for how you interpret and use the content and for obtaining independent financial, legal, technical, security, or other professional advice where appropriate.
12. Third-party links and services
The Site may contain links to third-party websites, tools, or resources that are not operated or controlled by Horizon Scan AI. Such links are provided for convenience only. Horizon Scan AI is not responsible for the content, security, functionality, availability, or privacy practices of any third-party website or service.
Any use of third-party sites or tools is at your own risk and may be subject to separate terms and privacy notices.
13. Privacy and data protection
Personal data collected through the Site is handled in accordance with the Horizon Scan AI Privacy Policy, as updated from time to time. By using the Site, you acknowledge that you have read and understood the Privacy Policy.
If you are a client, any more specific data protection terms in the relevant Client Agreement will also apply to the extent relevant to the services provided.
14. Disclaimers
Except as expressly stated in these Terms or required by law, the Site and all content made available through it are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Horizon Scan AI excludes all conditions, warranties, representations, and other terms that might otherwise be implied by statute, common law, or equity.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
15. Limitation of liability
To the fullest extent permitted by law, Horizon Scan AI will not be liable for any indirect, consequential, or special loss, or for any loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation, or data arising out of or in connection with use of, or inability to use, the Site.
Horizon Scan AI will also not be liable for loss or damage caused by use of the Site in breach of these Terms, failure to follow reasonable instructions, misuse of portal credentials, third-party systems outside its control, or reliance on Site content without appropriate independent professional judgement or advice.
Where loss arises under a Client Agreement in connection with contracted services, any liability of Horizon Scan AI will be governed by and subject to the limitations, exclusions, and caps set out in that Client Agreement.
16. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the use of the Site, unless a mandatory law requires otherwise.
